2 Job Purpose Reporting to and partnering with the chief executive officer (CEO), the chief financial officer (CFO) will play a critical role in developing and implementing the global strategy for XX Group Ltd. As a member of the senior leadership team, the CFO will be an advisor to the divisional presidents, evaluating and assisting them with their financial plans and economic modeling. S/he will be responsible for overseeing all fiscal and fiduciary responsibilities for the organization, in conjunction with the board of directors and the finance, audit, and investment committees of the board 3 Relationships 3.1 Internal: the incumbent report to the CEO immediately; supervises Controllers, Managers, Investor relation, Taxation; 3.2 External: Externally deals with Legal Counsel, External Auditors, AMEX, SEC, IR/PR Firm, financial institution, Investment Bank;; 4 Key Accountabilities Key job tasks of Chief Financial Official Officer: 1 Strategy ? As a true business partner to the CEO and divisional presidents, assess organizational performance against both the annual budget and company’s long strategy. ? Develop tool and systems to provide critical financial and operational information to the CEO and make actionable recommendations on both strategy and operations; ? Engage the board finance, audit, and investment committees around issues, trends, and changes in the operating models and operational delivery; ? Assist in establishing yearly objectives and meeting agendas, and selecting and engaging outside consultants ( auditor, investment advisors); ? Oversee long-term budgetary planning and costs management in alignment with company strategic plan, especially as the organization considers sponsorships, potential acquisitions, and collaborations with external organizations. 2 Executive Management - Service as a member of executive leadership team; - Participate in key decisions pertaining to strategic initiatives, operating model and operational execution. 3 Financial Planning and Analysis - Prepare and maintain regular financial planning reports; Monthly profit and loss forecast by division (vs. budget); weekly cash follow forecast; - Complete analysis of financial results; development recommendations (strategic and tactical) - Develop and execute analysis of various business initiatives (e.g. opening new operations, asset acquisition, new services launches); - Develop and maintain capital budget; - Assist in development of financial planning and analysis exercises/reports; 4 Finance - Oversee cash flow planning and ensure availability of funds as needed; - Oversee cash, investment, and asset management; - Oversee financing strategies and activities, as well as banking relationships; - Develop and utilize forward-looking, predictive models and activity-based financial analyzes to provide insight into the organization’s operations and business plans; 5 Planning, Policy, and Investor Relations - Coordinate the development and monitoring of budgets; - Develop financial business plans and forecasts; - Participate in corporate policy development as member of the senior management team; - Engage the finance committee of the board of directors to develop short-, medium-, and long-term financial plans and projections; - Represent the company to financial partners, including financial institutions, investors, foundation executives, auditors, public officials, and etc.; 6 Accounting and Administration - Oversee the accounting department to ensure proper maintenance of the all accounting systems and function; supervise company finance staff; - Ensure maintenance of appropriate internal controls and financial procedures; - Ensure timeliness, accuracy, and usefulness of financial and management reporting for government, funders, foundations, and company board of directors; oversee the preparation and communication of monthly and annual financial statements; - Coordinate audits and proper filing of tax returns; - Ensure legal and regulatory compliance regarding all financial functions. 7 Team Management - Mentor and develop a direct team of four, managing work allocation, training, problem resolution, performance evaluation, and the building an efficient team dynamic; - Guide larger, cross-divisional teams globally. 8 Accounting Activities - Oversee preparation of month-end, quarter-end and year-end financial statements; - Review all month-end closing activities, including general ledger maintenance, balance sheet reconciliations and corporate/overhead cost allocation; - Enhance and implement financial and accounting systems, process, tools and control systems; - Serve as final point of escalation for Accounts Receivable/Accounts Payable issues; - Develop and manage accounting staff 8 Corporate Development - Represent company in efforts with investment bankers and potential investors; - Prepare various analyzes and reports required by corporate development efforts. 5 Person specification 5.1 Master's degree in financial management or accounting, and economics; CPA would be a plus; prefer AICPA,ACCA,CGA, HKICPA 5.2 10+ years progressively responsible experience as CFO or equivalent, preferably in large-scales FMCG organization with budget of at least CNY100 million; 5.3 Deep knowledge and understanding of the office of management and budget; 5.4 Experience working with information technology staff to manage finance and accounting software packages; 5.5 Excellent bilingual written and verbal communication skills; include English and Chinese 5.6 Demonstrate leadership ability, team management and interpersonal skills; 5.7 Excellent analytical and abstract reasoning skills plus excellent organization skills; 5.8 Experience in senior financial-management role, partnering with executive staff, resulting in the development and implementation of creative financial management strategies; 5.9 Significant experience in or knowledge of accounting, sophisticated fund, compliance and reporting. 5.10 Chinese with European or American nationality is prefer. 5.11 Familiar with US pre-IPO process and enough total process participation experiences. 5.12 Age from 45 to 50 is better, at least 40.
